Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of SEOArchitect (the “Service”), provided by SEOArchitect (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & account

You must be at least 18 years old and able to form a binding contract. You are responsible for the activity on your account, including any members you invite to your workspace, and for keeping your credentials confidential. You agree to provide accurate information and to keep it up to date.

2. The Service

SEOArchitect is a multi-tenant SaaS platform that uses AI agents to analyze, plan, and produce content for your websites. Specific features, agent capabilities, and quotas vary by plan and may evolve over time. We may add, remove, or modify features and rate limits at our discretion; we will give reasonable advance notice when a change materially reduces what you receive on a paid plan.

3. Acceptable use

You agree not to:

• use the Service to infringe intellectual property, harass anyone, or violate any law;
• send instructions to the AI agents intended to generate disinformation, malware, deceptive SEO content, or content targeting children;
• attempt to access the Service’s internals, scrape it, reverse-engineer it, or interfere with other tenants;
• resell or sublicense access without our written permission.

We may suspend or terminate your account if we reasonably believe you are violating this section, with or without notice depending on the severity.

4. Your content & data

You retain ownership of the websites, copy, keywords, and any other content you bring into or generate within the Service (“Customer Content”). You grant us a non-exclusive license to host, process, and display your Customer Content solely as needed to provide the Service to you.

We may use de-identified, aggregated metrics about Service usage (e.g., latency, error rates, feature adoption) to operate and improve the Service. We will not train foundation models on your Customer Content.

5. Subscriptions, billing, and renewals

Paid plans are billed in advance on a monthly basis at the price listed when you subscribed (the “Subscription”). All fees are in USD and exclusive of applicable taxes, which we may collect through our payment processor.

• Your Subscription renews automatically at the end of each billing period until you cancel.
• You may cancel anytime from the billing page; your access continues until the end of the current paid period.
• If a payment fails, we may retry, downgrade your account to the free tier, or restrict access until the balance is paid.
• Refunds are governed by our Refund Policy.

6. Third-party integrations

The Service can connect to third-party platforms (Google Search Console, Google Analytics 4, Stripe, Resend, and others). When you connect a third party, you authorize us to read or write data on your behalf as scoped by that integration. We are not responsible for third-party services and your use of them is governed by their terms.

7. AI output

AI-generated text, schemas, and recommendations are produced by large language models. They can be incorrect or out of date. You are responsible for reviewing AI output before publishing it, particularly anything that makes factual or legal claims about your business.

8. Intellectual property

We own the Service, including its software, design, and trademarks. These Terms do not grant you any rights to our intellectual property other than the limited license to use the Service while your account is active.

9. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce specific SEO outcomes.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising from or related to the Service is capped at the amounts you paid us in the 12 months preceding the event giving rise to the claim.

11. Changes to these Terms

We may update these Terms from time to time. We will post the new Terms on this page and update the effective date above. If a change is material, we will give you reasonable notice (e.g., by email). Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts located in Toronto, Ontario.
